🏛️ Family Protocol and Business Succession: The Legal and Tax Shield for Your Business

protocolo familiar y sucesión empresarial

The Spanish economy is largely built on SMEs and family businesses. Yet business statistics reveal a complex reality: fewer than 30% of family businesses survive the move to the second generation, and barely 10% reach the third. Lack of succession planning, the absence of clear governance rules and the tax impact of an improvised transfer of the business are the three factors that usually lead to paralysis or liquidation.

With the start of the last quarter of the year (Q4), many founders and business families begin to think about the future of the group. At Ruiz & Asociados we know that planning succession is not an immediate retirement measure but an act of strategic responsibility that must be organised years in advance to protect family harmony and make the most of the tax exemptions available in 2026.

💶 The tax appeal: 95% to 99% relief on inheritance and wealth tax

The law recognises the family business as a driver of the economy and employment and grants it a very favourable tax regime. However, these incentives depend on strict compliance with legal requirements that the Tax Agency audits very rigorously.

To benefit from the wealth tax exemption and the 95% to 99% reduction in the taxable base of inheritance and gift tax (ISD) (depending on the autonomous community of residence), the company must meet three fundamental conditions:

  1. Operating nature: the company must carry out a real economic activity and not merely manage securities or property (holding companies).
  2. Shareholding percentage: the holder must own at least 5% of the shares individually, or 20% jointly with their spouse, ascendants, descendants or second-degree collateral relatives.
  3. Paid management functions: at least one member of the family group must actually perform management functions in the company and receive pay for them representing more than 50% of their total income from work and business activities.

A mismatch in a director’s pay or a lack of documentary evidence of the management functions performed can lead the AEAT to assess the tax without the relief, creating huge tax debts for the heirs.

📜 What is an effective family protocol and what should it regulate?

The family protocol is a contractual framework agreement signed by the members of the family that owns the business. Its aim is to set the rules governing relations between the family, ownership and management of the company.

So that it is not just a statement of good intentions without legal effect, the protocol must be structured through enforceable clauses included in the articles of association and registered with the Commercial Registry.

1. Policy for family members joining the company

It sets the objective conditions any member of the next generation must meet to join the business (e.g. a university degree, at least 3 years of external professional experience and language skills). This prevents hiring based on nepotism that would weaken competitiveness.

2. Rules for valuing and transferring shares

It regulates the right of first refusal between family members in the event of a sale or divorce, preventing outsiders from entering the family group. It also sets objective formulas to value the shares when a partner leaves.

3. Defining governing bodies (Family Council vs. Board of Directors)

It clearly separates the emotional/family sphere from the executive sphere. While the Board of Directors makes business decisions based on market performance, the Family Council looks after the cohesion of the family, the training of the younger generation and the transmission of the company’s values.

🤝 Links with corporate governance and incentives for external talent

A professionalised family business in 2026 cannot rely solely on talent from within the family. In many expansion phases it is essential to bring in top external executives.

To retain these key people without affecting family ownership of the shares, the company can implement long-term variable pay schemes such as Phantom Shares to retain talent, which align the external executive’s performance with the group’s objectives without giving them voting rights at shareholders’ meetings.

The protocol must also be coordinated with the existing shareholders’ agreement and with regular internal control obligations, making sure the accounts and taxes reflect the real situation ahead of the tax year-end and that the DEHú and electronic notifications are properly handled.

To review the tax regime for inheritances and business transfers, you can consult Law 29/1987 on Inheritance and Gift Tax in the Official State Gazette or the tax information of the Spanish Tax Agency.
