After the summer break, LinkedIn inboxes are buzzing and headhunters go fishing for the brightest profiles. If you run an SME or a startup, you probably face a tricky dilemma: you need to keep your key employees, but your cash flow does not allow you to match the salaries of large multinationals.

At Ruiz & Asociados we know that giving away part of your company (equity) to retain an employee is a drastic decision that can complicate your control structure. Fortunately, the legal and financial landscape in 2026 offers a perfect tool to align your employees’ interests with the company’s success without diluting your decision-making power: Phantom Shares.

🧠 What exactly are Phantom Shares?

Despite the cinematic name, Phantom Shares are a very solid legal instrument. They consist of a variable pay contract (a long-term bonus) through which the company grants the employee a financial right linked to the value of the company’s real shares.

The beauty of this model lies in what it is NOT:

The employee does not become a shareholder.

They do not acquire voting rights (they cannot vote at shareholders’ meetings).

It does not require going to the notary to amend the articles of association or registering anything with the Commercial Registry.

Put simply, if the company’s value rises, the employee receives a bonus proportional to that increase at a predefined moment (for example, if the company is sold or dividends are distributed). If the company succeeds, the employee succeeds. 🚀

⚖️ Phantom Shares vs. Stock Options: why the “phantoms” win

Until recently, stock options were the stars of the startup ecosystem, strongly promoted by the Startups Law. In everyday practice in 2026, however, Phantom Shares are gaining ground thanks to their administrative flexibility.

Less red tape: granting real stock options involves heavy corporate procedures and notary costs. A Phantom Shares plan is essentially a private employment contract drafted to measure.

Keeping control: if you are growing your business through self-financing or bootstrapping in 2026, you will want to keep 100% of the helm. Phantom shares do not give employees blocking power.

Clear taxation: for the employee, stock options are taxed when the purchase right is exercised (sometimes before there is real liquidity). Phantom Shares, by contrast, are taxed as employment income under personal income tax only when the employee receives the money in their bank account. For the company, the payment is a 100% deductible expense for Corporate Tax.

🛡️ Keys to a successful plan this September

If you decide to introduce this incentive, a verbal promise is not enough. To be binding and protect both parties, it must be properly structured:

Vesting clauses: as we saw when drafting the startup shareholders’ agreement, the rights to Phantom Shares should accrue over time. For example, the employee vests 25% of the rights each year over four years. If they leave earlier, they lose them.

Liquidity events: you need to define exactly when the payment is made. When the company is sold? When EBITDA exceeds a certain figure? After 5 years?

Valuation formula: it is vital to set out in writing how the company’s future value will be calculated to avoid disputes with the employee.

🏢 Design your retention strategy with Ruiz & Asociados

Creating a Phantom Shares plan requires precision.
